PicAI Membership Service Agreement
Introduction
This PicAI Membership Service Agreement (hereinafter referred to as "this Agreement") is entered into by you (also referred to as "Member") and us and is legally binding on both parties. Before subscribing to this service, please carefully read and fully understand the terms. Especially pay attention to the terms that exempt or limit liability, which will be highlighted in bold.
By following the instructions on the PicAI membership service page, reading, and agreeing to this Agreement, and completing the entire activation process, you acknowledge that you have read, understood, and accepted all the terms of this Agreement, becoming a PicAI member. If you disagree with this Agreement or any of its terms during the reading process, you should immediately stop the activation process.
PicAI reserves the right to revise this Agreement based on operational reasons. If any changes are made, we will notify you through relevant pages, in-app messages, or other reasonable methods. If you disagree with the changes, you can choose to stop using this service. Continuing to use the service means you accept all the changes. The updated agreement will take effect from the date mentioned at the beginning.
I. PicAI Membership Service Description
1. PicAI Member: Refers to users who have completed the entire procedure of purchasing a PicAI membership and enjoy our PicAI member services during the valid membership period while adhering to this Agreement.
2. PicAI Membership Services: Are exclusive rights and benefits provided by PicAI to you, which are paid services. For specific rights and benefits, please refer to Article II of this Agreement.
3. PicAI Membership Service Agreement: Refers to any agreement, announcement, page description, notification, FAQ, promotional event, etc., related to PicAI membership services that we have or will release. Once published, these contents become an integral part of this Agreement.
4. This Agreement is part of the "PicAI Service Agreement". If there's any inconsistency between this Agreement and the "PicAI Service Agreement", this Agreement shall prevail.
II. PicAI Membership Service Content
1. This service includes Lifetime Membership (non-auto-renewal), Continuous Monthly Membership, Continuous Quarterly Membership, Continuous Annual Membership, and other membership types that PicAI might introduce in the future.
1.1. Lifetime Membership (non-auto-renewal): You can authorize payments through Apple Pay, WeChat Pay, Alipay, or other third-party payment methods that PicAI might offer in the future.
1.2. Auto-Renewal Membership: You can authorize payments through methods that support auto-renewal, such as Apple Pay or Alipay.
2. Exclusive Benefits include:
2.1. Exclusive Features: Features already embedded in the PicAI app or that will be added, exclusive for PicAI members. The specific benefits depend on the type of membership and the actual offerings by PicAI.
2.2. Promotions: Based on operational circumstances, PicAI might offer extensions, upgraded benefits, or discounts. The specific promotions will be announced on relevant service pages.
2.3. Membership benefits might change based on legal, policy changes, or operational strategies.
3. Guest Mode:
3.1. Due to Apple App Store policies, non-registered users can purchase memberships as guests. These memberships will be device-bound and might have limitations in benefits.
3.2. It's recommended to bind your PicAI account to enjoy benefits across devices.
III. Charges and Cancellation
1. Payment Method: PicAI membership is a paid service. You can pay using Alipay, WeChat Pay, or iOS in-app purchases.
2. Fee Standard: The pricing depends on operational costs and strategies. The current pricing is shown on the product service and payment pages.
3. Refunds: This service is virtual, and payments are for the service, not a deposit or prepayment. Refunds or transfers are not typically allowed unless there are significant defects or other special circumstances.
IV. Special Note for Auto-Renewal Memberships
1. Auto-renewal memberships renew automatically each month or year.
2. Ensure there are sufficient funds in the payment method you've authorized.
3. Cancellation:
- iPhone users: Open App Store > Click on the profile icon > Manage Subscriptions > Cancel Subscription.
- Android users: Open WeChat or Alipay and follow the respective instructions.
4. Prices might change based on business needs. If prices increase, we'll seek your consent separately. If they decrease, we'll charge the lower amount directly.
V. Termination of PicAI Member Service
1. Unless otherwise specified in this Agreement or other agreements, the auto-renewal membership will automatically terminate after you cancel the continuous monthly or annual membership service and the paid service period (billing cycle) expires.
2. The termination of service does not affect the services you were entitled to before termination. Fees that have been paid will not be refunded.
VI. Rights and Obligations of Members
1. Members equally enjoy the rights of membership and must adhere to various management schemes of PicAI, including but not limited to the "PicAI Service Agreement," "PicAI Membership Service Agreement," "PicAI Privacy Policy," etc.
2. Members enjoy various value-added services during the valid period of payment.
3. When activating a membership, you must carefully confirm your account and membership type. If due to your own input errors or improper operations, you charge the wrong account or activate the wrong service, thereby harming your rights, you may not request any compensation from PicAI. If you purchase in a manner not specified by PicAI, PicAI does not guarantee successful activation or completion of membership. If this harms your rights, PicAI will not offer compensation and reserves the right to freeze or terminate your account and service usage.
4. Members should use membership services, including free and value-added services, in compliance with the laws and regulations of the People's Republic of China. They should uphold public order and moral standards. They must not endanger cybersecurity, undermine national security, spread violent or obscene information, or violate other's reputation, privacy, intellectual property rights, etc. If you engage in such behaviors, we have the right to terminate your member services.
VII. Rights and Obligations of PicAI
1. PicAI is obligated to ensure smooth member services. In case of technical failures hindering the provision of services, PicAI should resolve them promptly.
2. PicAI communicates notifications and announcements to members through system notifications, SMS, email notifications, etc.
3. If force majeure causes interruption or other defects in member services, PicAI is not liable but will strive to minimize the loss and impact on members.
4. PicAI is not responsible for account password leaks due to user reasons. To avoid legal risks, PicAI reserves the right to take all measures to prevent third parties from operating the user's account, regardless of intention or method of acquisition.
5. If a member violates the laws and regulations of the People's Republic of China while using the service, PicAI has the right to revoke the member's membership without compensation. The violator must bear all responsibility.
VIII. Limitation of Liability
You understand that PicAI will make the utmost effort to ensure the safety, efficacy, accuracy, and reliability of this service and its related technology and information. However, due to existing technology and our service capabilities, PicAI cannot be held responsible for direct or indirect losses caused by:
1.1. Natural disasters, strikes, riots, wars, terrorist attacks, government actions, judicial or administrative orders, and other force majeure factors.
1.2. Technical adjustments or failures from the telecommunications department, communication network failures, and other public service factors.
1.3. Failures in user software, system, hardware, or communication lines, or use of the service in ways not agreed upon in this agreement.
1.4. Emergency equipment/system failures/maintenance or network data and information security, despite our good faith management.
IX. Personal Information Protection
1. We understand the importance of personal information to you and take great care in protecting it. We will use technical measures and other security methods to protect your personal data during this service.
2. Protection of Minors
We pay great attention to the protection of minors.
2.2.1. If you are a minor, you should read this agreement under the guidance of a guardian and have received the guardian's consent to use this service.
2.2. Guardians should guide their children on internet safety. If a guardian agrees to a minor using this service, it should be under the guardian's name, and the guardian should guide and supervise the minor. The use of this service by a minor, as well as the exercise and performance of the rights and obligations under this agreement, is deemed to have been approved by the guardian.
